1. Parties Agreement
     
    These terms govern all spot wholesale and OEM/ODM transactions between GAHOND (Supplier Factory) and purchasing clients (Buyers). Placing orders and completing payment confirms full acceptance of all terms.
  2. Quotation & Payment Terms
     
    All quotations exclude shipping fees and destination import tariffs. Accepted payment methods include T/T wire transfer and cross-border online payment. For large orders, we accept 30% deposit to start production, with 70% balance paid before shipment.
  3. Sample Liability
     
    Sample production and courier fees are covered by the Buyer. We produce samples per buyer specs as mass production reference. Minor industry-standard tolerances (±0.5mm dimension, slight color difference) are acceptable for bulk goods.
  4. Intellectual Property & Confidentiality
     
    IP rights of logos, trademarks and original designs provided by the Buyer belong solely to the Buyer. GAHOND signs NDA agreements and strictly prohibits leaking or copying exclusive client designs to third parties. If the Buyer uses infringing trademarks or graphics, all legal liabilities rest fully with the Buyer.
  5. Production & Force Majeure Delay
     
    We schedule production to meet agreed lead times. Delays caused by force majeure including raw material shortage, factory power outage, customs hold, international logistics congestion will be notified immediately; we negotiate extended lead time without penalty compensation.
  6. Compliance Support
     
    We provide CE, FCC, RoHS certification and test reports on request to support Amazon, independent website and offline retail store listing audits. Certifications are only valid for goods shipped by GAHOND and cannot be transferred to products from other manufacturers.
  7. Term Revision & Dispute Resolution
     
    GAHOND reserves rights to update terms with page posting. Disputes shall first be resolved via friendly email/WhatsApp negotiation; unresolved conflicts will be arbitrated under the laws of Mainland China.
